Abstract: Das Rechtsinstitut der Betriebsaufspaltung ist nach wie vor in zahlreichen gerichtlichen Entscheidungen, Verwaltungsverlautbarungen sowie wissenschaftlichen Analysen präsent. Dies liegt vor allem an der Kritik aus der Literatur, dass es für die Betriebsaufspaltung an einer klaren gesetzlichen Grundlage fehlt. Da sich selbst nach über 70 Jahren Existenz der Betriebsaufspaltung keine gesetzliche Verankerung wiederfindet, bleibt eine Ausweitung des Rechtsinstituts durch die Rechtsprechung nach wie vor bestehen. Diese ständig wachsende Rechtsprechung im Bereich der Betriebsaufspaltung ist kritisch zu sehen, da eine Rechtssicherheit somit nicht gegeben ist. Zusätzlich führt es in der Praxis dazu, dass die Betriebsaufspaltung regelmäßig dahingegen zu prüfen ist, ob sie den entsprechenden Anforderungen noch gerecht wird. Auch unter dem Gesichtspunkt der wachsenden internationalen Unternehmenstätigkeiten erscheint ein Auseinandersetzen mit der Thematik der Betriebsaufspaltung als zwingend notwendig, da das ursprüngliche nationale Rechtsinstitut auch über die Grenzen hinaus Anwendung findet. In diesem Zusammenhang ergeben sich jedoch Problemstellungen bzgl. des Besteuerungsrechts. Der Schwerpunkt der Arbeit wurde auf die kritische Würdigung der Betriebsaufspaltung sowie auf die Problemstellungen bei grenzüberschreitenden Konstellationen gelegt. The legal institution of the company split-up is the subject of ongoing interest in court decisions and communiqués, as well as in scientific analyses. The reason for this lies in the widespread criticism found in publications that a clear legal foundation for the company split-up does not exist. Even after its 70-year existence without statutory basis, extension of the legal institution and its jurisdiction has persisted. Furthermore, the continual increase in case law must be viewed critically in terms of resulting legal certainty. In addition, in practice it leads to the necessity of examining the company split-up on a regular basis to verify that it still conforms to the specific requirements.With reference to the aspect of the steady growth in international business, an in-depth evaluation of this topic becomes stringently required because the legal institution of the company split-up is also applicable in cross-border situations. In this context, problems arise regarding the taxation right.The focus of this paper is placed on a critical analysis of the company split-up as well as the problems in cross border constellations.
